Terms of Service
1. Who we are
Upquick LLC ("Upquick", "we", "us") connects commercial truck drivers and fleets with independent repair shops and mechanics for roadside service.
2. Accounts
You sign in with a verified phone number (or an @upquick.net email for staff). Keep your account to yourself and tell us if you think it has been misused.
3. License to use the app (EULA)
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Upquick web and mobile apps for their intended purpose. You may not copy, reverse-engineer, resell, or interfere with the service.
4. Service requests, quotes, and payment
Upquick doesn't process payments. A quote the driver signs is the record between the driver or fleet and the shop that performs the work.
Drivers and fleets are responsible for payment for repairs they approve. If payment isn't made for completed work, Upquick may share your contact information with the mechanic or shop that performed it so they can follow up and collect what's owed.
5. Shops and mechanics
Shops are responsible for their licensing, insurance, and the work they perform.
Shops and mechanics may use a driver's or fleet's contact information only to carry out a service request and related billing and collections — including following up on unpaid work. You may not use contact information obtained through Upquick to market your services outside the Upquick network, or for any other purpose.
6. Disclaimers and limitation of liability
Upquick operates a platform that connects drivers and fleets with independent mechanics and shops. We don't perform repairs ourselves, and mechanics and shops are independent businesses, not Upquick's employees or agents — Upquick is not liable for the quality, safety, or legality of any repair work they perform.
To the fullest extent permitted by law, the Upquick app and website are provided "as is," without warranties of any kind, and Upquick's total liability for any claim arising from your use of the service is limited to the amount you paid Upquick in the 12 months before the claim (or $100, since the app is currently free for drivers). Nothing in these terms limits liability where the law doesn't allow it to be limited, including for death or personal injury caused by negligence, or for fraud or willful misconduct.
You agree to indemnify Upquick against third-party claims arising from your breach of these terms or your misuse of the app, except to the extent caused by Upquick's own negligence or willful misconduct.
This wording is a standard placeholder and still pending final review by counsel.
7. Changes to these terms
If these terms change materially we'll ask you to accept the new version.
